Terms of Service

These Terms of Service ("Terms") govern use of the missed-call text-back SMS service (the "Service") provided by Golden Intelligence LLC ("Golden Intelligence," "we," "us," or "our"). By subscribing to or using the Service, you agree to these Terms.
1. The Service
The Service connects to a subscribing business's telephone line and monitors for inbound calls that go unanswered or reach voicemail. When such a call is detected, the Service automatically sends a text message from the business's messaging number to the number that placed the call. The message acknowledges the missed call and includes a link to the business's booking, ordering, or contact page. The Service sends a single automated message per missed call; it is not a two-way conversation channel. Inbound replies are monitored for opt-out keywords so that those requests are honored, and are not routed to the business.
The Service is a communications tool. It does not answer calls, it does not speak with callers, and it does not make representations to callers on the business's behalf beyond the message template the business has configured and approved.
2. Eligibility and accounts
The Service is offered to businesses, not to individual consumers. You must be at least 18 years old and authorized to act on behalf of the business you are registering. You are responsible for the accuracy of the information you provide, for maintaining the confidentiality of your account credentials, and for all activity that occurs under your account.
3. Messaging terms for message recipients
If you received a text message from a business using our Service:
- You received it because you called that business and your call was not answered. It is an automated reply to your call.
- Reply STOP, STOPALL, UNSUBSCRIBE, CANCEL, END, or QUIT at any time to stop receiving messages. You will receive a single confirmation and then no further automated messages.
- Reply HELP for information about this service, including how to contact us directly.
- Message frequency varies and depends on how often you call the business. Message and data rates may apply.
- Carriers are not liable for delayed or undelivered messages.

4. Client responsibilities and compliance
This section is important. As the subscribing business, you agree that:
- You will use the Service only to reply to callers who have contacted your business, and not to send unsolicited marketing, promotional blasts, or messages to numbers that have not called you.
- You are responsible for the content of the message template you configure, and you will not use the Service to send content that is unlawful, deceptive, harassing, obscene, or that promotes any category of content prohibited by mobile carriers or by Twilio's messaging policy — including but not limited to high-risk financial offers, illegal substances, and adult content.
- You will comply with all applicable laws governing your communications with customers, including the Telephone Consumer Protection Act (TCPA), the CAN-SPAM Act where applicable, state telemarketing and consent laws, and applicable carrier and CTIA messaging guidelines.
- You will honor opt-out requests, and you will not attempt to circumvent, disable, or work around the Service's opt-out handling or suppression list.
- You will provide accurate business information for A2P 10DLC brand and campaign registration, and you will keep it current.
You are the party that determines who is messaged and what the message says. Accordingly, you are responsible for having a lawful basis for those communications. Section 11 sets out in full your compliance obligations, the allocation of regulatory risk between us, and your indemnification obligations.
5. Acceptable use
You may not, and may not permit anyone else to:
- Use the Service to transmit malware, phishing links, or fraudulent content;
- Attempt to gain unauthorized access to the Service, other accounts, or our infrastructure;
- Resell, sublicense, or provide the Service to third parties without our written agreement;
- Use the Service in a way that impairs its operation for other customers, or that exceeds agreed volume limits;
- Use the Service to send messages on behalf of a business other than the one registered on the account.
6. Pricing, billing, and cancellation
6.1 Service Fee
The monthly subscription fee for the Missed-Call Text-Back Service is $129.00 per month ("Service Fee"), billed monthly in advance, unless otherwise agreed in writing between Client and Golden Intelligence LLC.
6.2 Free Trial Period
Client's first month of Service is provided at no charge ("Free Trial Period"). Golden Intelligence LLC will not bill Client's payment method during the Free Trial Period. Billing of the Service Fee will begin automatically at the start of the second monthly billing cycle unless Client cancels prior to the end of the Free Trial Period in accordance with Section 6.4.
6.3 No setup fee
Golden Intelligence LLC does not charge a one-time setup or onboarding fee for the Service as of the date of this Agreement. Golden Intelligence LLC reserves the right to introduce a setup fee for future clients, which will be disclosed prior to any such client's enrollment and will not apply retroactively to existing clients.
6.4 Cancellation
Client may cancel the Service at any time, for any reason, effective at the end of the then-current monthly billing cycle. Cancellation during the Free Trial Period will result in no charge to Client. Cancellation after the Free Trial Period has ended will not entitle Client to a refund of any portion of the Service Fee already billed for the current cycle, except as required by law. To cancel, Client must provide notice using the contact information listed in Section 14.
6.5 No long-term commitment
The Service is offered on a month-to-month basis. Client is under no obligation to continue the Service beyond any given billing cycle.
6.6 Fee changes
Golden Intelligence LLC reserves the right to change the Service Fee for future billing cycles by providing Client at least thirty (30) days' advance notice via the email address on file. Continued use of the Service after a fee change takes effect constitutes Client's acceptance of the new fee. If Client does not agree to a fee change, Client may cancel in accordance with Section 6.4 prior to the change taking effect.
6.7 Payment method
Client authorizes Golden Intelligence LLC to charge the payment method on file for all fees due under this Agreement. Client is responsible for keeping payment information current. Failure to maintain a valid payment method may result in suspension of the Service until payment is resolved.
7. Service availability
We work to keep the Service available and reliable, but we do not guarantee uninterrupted operation. The Service depends on third-party telephone carriers, messaging providers, and hosting infrastructure that are outside our control. Message delivery is not guaranteed, and delivery timing can vary by carrier. We may perform maintenance that temporarily interrupts the Service, and will try to schedule it to minimize disruption.
8. Disclaimer of warranties
The Service is provided "as is" and "as available." To the fullest extent permitted by law, we disclaim all warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be error-free, that every missed call will result in a delivered message, or that use of the Service will produce any particular business result.
9. Limitation of liability
Limitations on our liability — including the cap on our total aggregate liability and the exclusion of indirect, incidental, consequential, special, and punitive damages — are set out in Section 11.7, which controls.
10. Suspension and termination
You may cancel your subscription at any time in accordance with your subscription agreement. We may suspend or terminate the Service, with notice where practicable, if you breach these Terms, if your use creates legal or carrier-compliance risk, if required by a carrier or messaging provider, or for non-payment. On termination, your right to use the Service ends; data handling after termination is described in our Privacy Policy.
11. TCPA compliance, risk allocation, and indemnification
11.1 Nature of the Service
The Service is designed and intended solely for transactional and informational communications sent in direct response to a customer's inbound call to Client's business telephone number. The Service is not designed or intended for marketing, advertising, telemarketing, or promotional messaging of any kind.
11.2 Client's sole responsibility for compliance
Client is solely responsible for ensuring that its use of the Service, including the content of any message template Client approves or customizes, complies with the Telephone Consumer Protection Act (TCPA), all rules and regulations of the Federal Communications Commission (FCC), all applicable state telemarketing and consumer protection statutes, and any other applicable law. Client acknowledges that Golden Intelligence LLC provides the technical means to send automated text messages but does not, and cannot, independently verify Client's legal basis for sending any particular message to any particular recipient. Use of the Service does not constitute, and should not be relied upon as, a guarantee or certification of legal compliance.
11.3 Prohibition on marketing use
Client shall not use the Service to send any message that constitutes advertising, marketing, telemarketing, or promotional content, as those terms are defined under applicable law, without first obtaining and documenting all consent required by law for that specific use. Golden Intelligence LLC reserves the right to suspend or terminate the Service immediately, without prior notice, if Golden Intelligence LLC reasonably believes Client is using the Service for marketing purposes without adequate consent, or in any manner that creates material legal or regulatory risk.
11.4 Message content approval
Client is solely responsible for reviewing and approving the content of any automated message template used in connection with Client's account before it is activated. Golden Intelligence LLC's provision of default or suggested message templates does not constitute legal advice or a representation that any such template is compliant with applicable law.
11.5 Indemnification
Client agrees to indemnify, defend, and hold harmless Golden Intelligence LLC, its owner, members, and affiliates (collectively, the "Company Parties") from and against any and all claims, demands, actions, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees and costs of defense), arising out of or relating to: (a) Client's violation of the TCPA, FCC regulations, or any other applicable law in connection with Client's use of the Service; (b) any message sent through the Service using content approved, provided, or customized by Client; (c) Client's failure to maintain adequate consent, opt-out, or do-not-call records as required by law; or (d) Client's breach of this Agreement. This indemnification obligation survives termination of this Agreement.
11.6 No warranty of legal outcome
GOLDEN INTELLIGENCE LLC MAKES NO REPRESENTATION OR WARRANTY, EXPRESS OR IMPLIED, THAT USE OF THE SERVICE WILL RESULT IN COMPLIANCE WITH THE TCPA OR ANY OTHER LAW. CLIENT IS STRONGLY ENCOURAGED TO CONSULT ITS OWN LEGAL COUNSEL REGARDING ITS SPECIFIC USE OF THE SERVICE BEFORE ACTIVATION.
11.7 Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL THE COMPANY PARTIES' TOTAL AGGREGATE LIABILITY TO CLIENT ARISING OUT OF OR RELATED TO THIS AGREEMENT, WHETHER IN CONTRACT, TORT, OR OTHERWISE, EXCEED THE TOTAL FEES PAID BY CLIENT TO GOLDEN INTELLIGENCE LLC IN THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM. IN NO EVENT SHALL THE COMPANY PARTIES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES.
11.8 Right to suspend for compliance concerns
Golden Intelligence LLC reserves the right to request evidence of Client's compliance practices at any time and to suspend the Service pending resolution of any reasonably suspected compliance issue, without liability to Client for such suspension.
11.9 Survival and severability
If any provision of this Section 11 is found unenforceable, the remaining provisions shall remain in full force and effect, and the unenforceable provision shall be modified to the minimum extent necessary to make it enforceable while preserving its original intent.
12. Governing law
These Terms are governed by the laws of the Commonwealth of Massachusetts, without regard to its conflict-of-laws rules. Any dispute arising under these Terms will be brought in the state or federal courts located in Norfolk County, Massachusetts, and both parties consent to the jurisdiction of those courts.
13. Changes to these Terms
We may update these Terms from time to time. When we do, we will revise the "Last updated" date above. If a change materially reduces your rights, we will provide notice before it takes effect. Continued use of the Service after a change takes effect constitutes acceptance of the updated Terms.
